What the clause says
A typical clause reads: “This Agreement may be executed in counterparts, each of which is deemed an original, and all of which together constitute one and the same instrument.” Often a second sentence adds that signatures delivered electronically, for example as a PDF, are as effective as originals.
How it works in practice
Everyone receives the same final document. Each party signs its own copy — or just the signature page — and sends it to the others. Together, the signed copies are the complete contract.
Make sure the versions match
Counterparts only work if everyone signed the same text. Check the version number or date before signing, and don't sign a copy that has changes the others haven't agreed to.
